Milan, July 2nd 2003 - e.Biscom S.p.A. (Milan, Nuovo Mercato: EBI) announces that, in relation to what declared by Consob this morning, following the closing of the agreement with AEM S.p.A. (Milan Stock Exchange: AEM), and as there are no other shareholders' agreements, Anphora S.r.l. will be closed.
On June 23rd 2003, AEM transferred its 11% stake in Anphora to Silvio Scaglia, President of e.Biscom, and the shareholders who had previously transferred the usufruct of their shares to Anphora acquired full ownership as from July 1st.
With the closing of Anphora, Silvio Scaglia's voting rights no longer amount to 51.24% of the share capital of e.Biscom, however, the number of shares in his possession is unchanged, that is 16,905,272.
Therefore the shareholding structure of e.Biscom remains the same. Silvio Scaglia, with 16,905,272 shares, owns 34.1% of the Company and remains the main shareholder of e.Biscom and the Micheli family a total of 21.7% (of which 11.7% held by Carlo Micheli and the rest by Francesco and Andrea Micheli). The remaining 44.2% of the Company is on the stock market and is held by shareholders' with stakes of less than 2% (including the CEO of e.Biscom, Emanuele Angelidis, with 1.1%, and the Chief Operating Officer, Alberto Trondoli, with 0.6%).
